These Terms of Use (the "Terms") govern your application for, access to and use of Ask the Manager, the artificial intelligence application made available by BrokerBotics.ai ("BrokerBotics") at chat.brokerbotics.ai, together with any related trial, content, communication or feature (collectively, the "Service"). By submitting an application, logging in to or otherwise using the Service, you agree to be bound by these Terms and by the BrokerBotics Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, you must not apply for, access or use the Service. The Service is operated by BrokerBotics independently and is not provided by or on behalf of any real estate brokerage. The Service is not affiliated with, sponsored by or endorsed by the Real Estate Council of Ontario, the Ontario Real Estate Association, the Toronto Regional Real Estate Board, PropTx, the Financial Transactions and Reports Analysis Centre of Canada or any other regulator, association or organization whose documents may be referenced by the Service.
The Service is intended solely for individuals who are registered as real estate salespersons or brokers under the Trust in Real Estate Services Act, 2002 (Ontario) ("TRESA") and whose registration is in good standing. By applying for or using the Service, you represent and warrant that you meet this requirement and that all information you provide to BrokerBotics is true, accurate and complete. The Service is based on the laws of Ontario and the rules of Ontario real estate boards and is not designed for use in connection with real estate activities in any other jurisdiction.
Access to the Service is offered on a limited, no-charge trial basis. Submission of an application does not guarantee access, and BrokerBotics may accept or decline any application in its sole discretion without providing reasons. If your application is accepted, BrokerBotics will issue you individual login credentials and notify you of the start and end dates of your trial period, which will be approximately two (2) weeks. Your access terminates automatically at the end of the trial period. Your use of the Service is limited to five (5) questions per calendar day, determined in the Toronto time zone, and each follow-up question counts toward that limit. As a condition of trial access, you agree to complete a short survey regarding your experience at the end of the trial period. BrokerBotics may modify, suspend or discontinue the Service or any feature of it, change usage limits, or suspend or terminate your access, at any time, with or without notice and for any reason, without liability to you.
Your login credentials are personal to you and may not be shared with, transferred to or used by any other person. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify BrokerBotics immediately at david@brokerbotics.ai of any actual or suspected unauthorized use of your credentials or account.
The Service uses artificial intelligence to generate responses based on a library of source documents. Responses generated by the Service may be inaccurate, incomplete, out of date or inapplicable to your circumstances, may misstate or omit applicable requirements, and may be expressed with a degree of confidence that is not warranted. All responses are provided for general informational purposes only and do not constitute legal, regulatory, tax, accounting, financial or other professional advice, nor any opinion, direction, policy or instruction of any real estate brokerage or Broker of Record. Use of the Service does not create a solicitor-client, fiduciary, employment, agency or advisory relationship between you and BrokerBotics. The Service does not replace your independent professional judgment, your obligations under TRESA, its regulations and the Code of Ethics, the policies of your brokerage, or the supervision of your Broker of Record. You are solely responsible for verifying any response against its cited sources and with your Broker of Record and, where appropriate, a lawyer or other qualified professional, before acting or refraining from acting on it, and you are solely responsible for all decisions made and actions taken in your real estate practice.
You may use the Service only in connection with your own real estate practice and only in compliance with these Terms and all applicable laws and professional obligations. You must not: (a) submit to the Service any personal information of any other person, including any client, prospective client or other party to a transaction; (b) copy, scrape, harvest, download, reproduce or extract, in bulk or by automated means, any response, source document or other content made available through the Service; (c) use any robot, script or other automated means to access or submit questions to the Service; (d) circumvent, disable or interfere with any usage limit, authentication mechanism or security feature of the Service; (e) attempt to cause the Service to disclose its instructions, configuration or underlying data, or to behave in a manner other than as intended; (f) reverse engineer, decompile or attempt to derive the source code or underlying models of the Service; (g) resell, sublicense, distribute or publish responses generated by the Service, or represent such responses as your own professional advice to the public; or (h) use the Service for any unlawful, fraudulent or harmful purpose or in breach of your obligations under TRESA.
The source documents referenced by the Service are owned by their respective owners, including regulators, associations, real estate boards and governments, and are made available to you solely for reference in connection with your use of the Service, subject to any terms imposed by their owners. The Service, including its software, design, compilation, configuration and generated responses, and all intellectual property rights in it, are owned by BrokerBotics or its licensors. Subject to your compliance with these Terms, BrokerBotics grants you a limited, revocable, non-exclusive, non-transferable licence to access and use the Service during your trial period, and to use responses generated for you within your own real estate practice. All rights not expressly granted are reserved.
BrokerBotics records the questions you submit, the responses generated and associated usage data, together with your username, and reviews such records to identify inaccurate responses and to improve the Service, in accordance with the Privacy Policy. If you provide any suggestion, comment, survey response or other feedback regarding the Service, you grant BrokerBotics a perpetual, irrevocable, worldwide, royalty-free licence to use, reproduce, modify and otherwise exploit such feedback for any purpose without compensation or attribution to you, provided that BrokerBotics will not publicly identify you as the source of any feedback without your consent.
The Service and all responses and content made available through it are provided "as is" and "as available", with all faults and without warranty or condition of any kind. To the maximum extent permitted by applicable law, BrokerBotics expressly disclaims all warranties, conditions and representations, whether express, implied, statutory or otherwise, including any implied warranties or conditions of merchantable quality, fitness for a particular purpose, accuracy, completeness, currency, title and non-infringement, and any warranty that the Service will be uninterrupted, secure or error-free or that any error will be corrected.
To the maximum extent permitted by applicable law, in no event will BrokerBotics or its owners, operators, service providers or licensors be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of commissions, income, profits, business, opportunity, goodwill or data, or for any regulatory investigation, complaint, fine, penalty or disciplinary proceeding, or for any claim by a client or third party, arising out of or relating to these Terms, the Service, or your use of or reliance on any response or content, whether based in contract, tort (including negligence), statute or any other legal theory, even if advised of the possibility of such damages. The total aggregate liability of BrokerBotics arising out of or relating to these Terms or the Service will not exceed one hundred Canadian dollars (CAD $100).
You agree to indemnify and hold harmless BrokerBotics and its owners, operators and service providers from and against any claim, demand, loss, liability, damage, fine, cost or expense, including reasonable legal fees, arising out of or relating to your breach of these Terms, your submission of any personal information of another person to the Service, or any decision made or action taken by you in reliance on the Service.
You may stop using the Service at any time. BrokerBotics may suspend or terminate your access at any time, including upon the expiry of your trial period or upon any breach of these Terms. Sections 5 and 7 through 13 survive the expiry or termination of your access.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, and you irrevocably submit to the exclusive jurisdiction of the courts of the Province of Ontario in respect of any dispute arising out of or relating to these Terms or the Service. BrokerBotics may amend these Terms from time to time by posting the amended Terms and updating the "Last updated" date above, and will notify current trial users of any material amendment by email; continued use of the Service after an amendment takes effect constitutes acceptance of the amended Terms. If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. No failure or delay by BrokerBotics in exercising any right will operate as a waiver of that right. These Terms, together with the Privacy Policy, constitute the entire agreement between you and BrokerBotics regarding the Service.
